Terms of Use

These Terms of Use (“Terms”) govern access to and use of the Zeteo platform and services (“Services”) provided by Zeteo Education, Inc. (“Zeteo,” “we,” “us,” or “our”). By accessing the Services, you agree to these Terms. Please read them carefully.

If you do not agree to these Terms, do not access or use the Services.

Section 01

Who These Terms Apply To

The Services are provided to K–12 educational institutions (“Schools”) and their authorized users — students, teachers, and administrators (“Users”). These Terms apply to:

  • Schools and their authorized representatives accessing the Services under a service agreement with Zeteo;
  • Teachers and administrators using the platform in their official capacity within a participating School;
  • Students using the platform at the direction of their School and with appropriate parental or guardian consent (see our Privacy Statement, Section 9, for details on consent for minors).

Where these Terms reference “you” or “your,” they mean the User accessing the Services.

Section 02

Account Eligibility and Access

The Services are intended for educational use within an institutional setting. Accounts are created and managed through participating Schools or through Learning Management System (LMS) integrations authorized by participating Schools.

Users must:

  • Be authorized by their School to access the Services;
  • Provide accurate information when creating or accessing an account;
  • Maintain the confidentiality of login credentials;
  • Use the Services only for legitimate educational purposes consistent with their role.

Zeteo reserves the right to suspend or terminate access where these requirements are not met, or where continued access would violate these Terms or applicable law.

Section 03

Acceptable Use

Users agree to use the Services in accordance with their School’s academic integrity policies and applicable law. Users may not:

  • Use the Services to generate harmful, illegal, harassing, defamatory, or otherwise inappropriate content;
  • Attempt to bypass technical safeguards designed to support academic integrity, including content controls, AI usage limits, or assignment scope restrictions;
  • Use the Services to harvest, scrape, or extract data belonging to other Users;
  • Interfere with the security or operation of the platform, including through unauthorized access attempts, automated requests at a scale that affects platform performance, or introduction of malicious code;
  • Reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the Services, except as permitted by applicable law;
  • Use the Services to compete with Zeteo or to develop a competing product;
  • Use the Services in a manner that violates any applicable federal, state, or local law or regulation.

Schools are responsible for setting and enforcing their own academic integrity policies, including any policies relating to AI-assisted work. Zeteo provides tools that surface information about how assignments are produced; final academic decisions remain with the educational institution.

Section 04

AI Tools and Academic Integrity

The Services include AI-assisted features that support student learning, including a real-time Socratic guidance feature (“Nudges”) and an AI grading assistant that evaluates final submitted work against teacher-defined rubrics.

These tools are designed as “thought partners” that support student thinking — not as substitutes for original student work. Use of AI features within the Services is logged and may be visible to instructors through platform analytics. The platform also provides an integrity-scoring indicator that reflects the relationship between AI tool use and the originality of submitted work.

Final determinations regarding academic honesty, grade assignment, and any disciplinary action remain the sole responsibility of the educational institution.

Section 05

Process Metadata and Platform Visibility

To support teacher assessment of student work, the platform captures process metadata as students complete assignments — including keystroke timing, edit counts, paste events, and time on task. The platform does not store the text of student writing during the drafting process; only this process metadata is retained during drafting. The text of student work is captured only when a student submits a final assignment.

This approach is intentional. It allows teachers to understand how work was produced without retaining sensitive draft content. Details about what is and is not collected are described in our Privacy Statement.

Section 06

Intellectual Property

Your Content

Students retain ownership of the original content they create through the Services, subject to any rights their School may have under applicable law or institutional policy. Where the Services are integrated with a Learning Management System, the School’s LMS may serve as the system of record for student-generated work.

By submitting content through the Services, you grant Zeteo a limited, non-exclusive license to host, process, transmit, display, and analyze that content solely as needed to provide the Services to you and your School, and as further described in our Privacy Statement.

Our Content

The Services — including the underlying software, platform design, user interface, analytics methodology, and brand assets — are owned by Zeteo Education, Inc. and protected by applicable intellectual property laws. ZETEO™ is a trademark of Zeteo Education, Inc. (USPTO Serial No. 99793758).

Nothing in these Terms transfers any ownership of Zeteo’s intellectual property to you. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Services except as expressly permitted by these Terms or by separate written agreement.

Section 07

Third-Party Services

The Services rely on third-party providers for hosting, infrastructure, AI processing, and related functions. A current list of these sub-processors is maintained at https://www.zeteoed.com/subprocessors.

These third parties are bound by data protection commitments described in our agreements with them. We do not control the practices of third parties outside the scope of our agreements with them.

Section 08

Privacy and Student Data

How Zeteo collects, uses, and protects personal information is described in our Privacy Statement, available at https://www.zeteoed.com/privacy. The Privacy Statement is incorporated into these Terms by reference.

For Schools, additional terms relating to student data may be governed by a separate Data Processing Agreement (DPA) between the School and Zeteo. In the event of any conflict between these Terms and an executed DPA, the DPA controls with respect to the treatment of student data.

Section 09

Changes to the Services

Zeteo may modify, suspend, or discontinue any part of the Services at any time. We will make reasonable efforts to notify participating Schools in advance of material changes that meaningfully affect how the Services operate.

Section 10

Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Zeteo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

The Services include AI-assisted features. While we apply reasonable care in the design and operation of these features, AI output may contain errors, omissions, or inaccuracies. Users and Schools should treat AI-generated content as a starting point for human judgment, not a substitute for it.

Section 11

Limitation of Liability

To the maximum extent permitted by law, Zeteo’s total liability arising out of or relating to these Terms or the Services will not exceed the amount paid by your School to Zeteo for the Services during the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100) if no fees have been paid.

Zeteo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, regardless of the legal theory.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.

Section 12

Termination

These Terms remain in effect while you have access to the Services. Access may be terminated:

  • By a School with respect to its own users at any time;
  • By Zeteo where a User materially breaches these Terms or where required by law;
  • By either party where a service agreement between Zeteo and a School expires or is terminated.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and the sections of the Privacy Statement and any applicable DPA governing post-termination data handling — will survive.

Section 13

Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. For Users accessing the Services through a School that has executed a separate DPA, the governing-law provisions of that DPA control with respect to disputes arising from the treatment of student data.

Section 14

Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page, and where appropriate, communicated to participating Schools in advance. Continued use of the Services after a material change constitutes acceptance of the updated Terms.
